JAMIE AI, INC. STANDARD TERMS AND CONDITIONS

BY USING THE PLATFORM SERVICES, YOU ARE AGREEING TO THESE TERMS. PLEASE READ THEM CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS, YOU MAY NOT ACCESS OR OTHERWISE USE THE PLATFORM SERVICES.

These Standard Terms and Conditions, together with any applicable SaaS Agreement and our Privacy Policy (collectively, the “Terms”), govern your use of certain software solutions, services, and functionality made available to you by JAMIE AI, Inc. and its affiliates, collectively called the “Platform Services.” JAMIE AI, Inc. (“Jamie AI,” “we,” or “us”) provides the Platform Services, and “you” and “your” refer to you as a user of the Platform Services.

1. RIGHT TO USE

Subject to your compliance with these Terms, Jamie AI grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use Jamie AI’s proprietary platform, including AI products for content ideation, creation, analytics, and other capabilities, as well as related services and documentation made available as part of the Platform Services.

2. USE RESTRICTIONS

You may not:

• Copy, modify, or create derivative works of any part of the Platform Services.

• Reverse engineer, decompile, decode, disassemble, or otherwise attempt to derive any part of the Platform Services.

• Violate any law or third-party right when using the Platform Services.

• Interfere with the functionality, integrity, or performance of the Platform Services.

• Use any unauthorized scraping or data-mining tools on the Platform Services.

• Use the Platform Services for benchmarking or to create competitive services.

3. OWNERSHIP AND USE

Jamie AI owns all rights, title, and interest in and to the Platform Services, content, data, documentation, and technology, including AI models and related intellectual property, but excluding Customer Data, as defined below (“Jamie AI IP”).

You may provide content, including videos, scripts, decks, social handles, files, and other media (“User Content”). The Platform Services may also process Inputs, Outputs, transcripts, analytics, retention data, engagement data, usage data, and other data made available through your use of the Platform Services or connected third-party services. Collectively, User Content and such other data are referred to in these Terms as “Customer Data.”

You retain all right, title, and interest in and to your Customer Data.

The Platform Services may generate AI-created materials such as titles, outlines, run-of-show documents, summaries, recommendations, and other suggestions (“Output”) based on your inputs (“Input”). Subject to these Terms, you own the Input you provide and the Output generated from it.

You grant Jamie AI a non-exclusive, worldwide, royalty-free license to access, use, host, copy, reproduce, process, transmit, display, and create derivative works of Customer Data as necessary to operate, provide, maintain, support, and improve the Platform Services, to comply with applicable law, and to evaluate the effectiveness, performance, and impact of recommendations, outputs, and other Platform Services features.

Jamie AI may create, generate, use, and retain de-identified and aggregated data, analytics, benchmarks, scoring systems, performance metrics, recommendation-performance metrics, service-improvement insights, derivative learnings, and similar information derived from Customer Data and use of the Platform Services (“Derived Data”), provided that such Derived Data does not identify you, your organization, your end users, or specific Customer Data. As between the parties, Jamie AI owns all right, title, and interest in and to such Derived Data.

You represent that you have all necessary rights to grant the foregoing license, and that your Customer Data does not violate any law or any third-party rights.

By using Jamie AI and the Platform Services, you agree to be bound by the YouTube Terms of Service where applicable.

You also agree that your use of any YouTube-related features within Jamie AI is subject to our Privacy Policy and Google’s Privacy Policy.

Jamie AI uses YouTube API Services when you choose to connect your YouTube account. By using these features, you agree to the applicable YouTube API Services Terms and Google policies.

4. PAYMENTS

Jamie AI may offer paid services through one-time payments or subscriptions. You authorize Jamie AI to charge your provided payment method for these services. Fees are non-refundable unless otherwise stated.

Subscriptions automatically renew unless canceled. To cancel, email support@jamie-ai.com. Cancellations take effect at the end of the then-current billing cycle.

Jamie AI may suspend or limit access to the Platform Services for non-payment or late payment, upon reasonable notice to you, until all outstanding amounts are paid in full.

5. THIRD-PARTY SERVICES

You may connect accounts from third-party platforms such as YouTube or TikTok. Your use of those platforms is governed by their respective terms and policies, not Jamie AI’s.

Jamie AI may send text messages via third-party providers. By opting in, you agree to receive messages from Jamie AI. Message and data rates may apply. You may opt out at any time by texting STOP.

Jamie AI integrates with third-party platforms including YouTube. When your account connects to YouTube, your use of those features is also governed by:

6. TERM AND TERMINATION

These Terms remain in effect for the duration of your use of the Platform Services, unless otherwise specified in an applicable order form or SaaS Agreement.

If an initial service term is specified in an applicable order form or SaaS Agreement, that term will automatically renew for additional periods of the same duration unless either party provides written notice of non-renewal at least thirty (30) days before the end of the then-current term.

In addition to any other remedies it may have, either party may terminate these Terms or the applicable agreement upon thirty (30) days’ written notice if the other party materially breaches any term or condition and fails to cure such breach within that notice period, or immediately in the case of non-payment.

You will pay in full for the Platform Services up to and including the last day on which the Platform Services are provided.

Upon any termination, Jamie AI will make Customer Data available to you for electronic retrieval for a period of thirty (30) days, after which Jamie AI may, but is not obligated to, delete stored Customer Data.

Notwithstanding the foregoing, Jamie AI may retain and use Derived Data after termination in de-identified and aggregated form for analytics, benchmarking, internal business purposes, legal compliance, and to operate, maintain, improve, and support the Platform Services.

All sections of these Terms which by their nature should survive termination will survive termination, including accrued rights to payment, confidentiality obligations, licenses granted herein, ownership of Derived Data, warranty disclaimers, indemnification obligations, and limitations of liability.

7. REPRESENTATIONS; DISCLAIMER

You represent that your Customer Data does not infringe any third-party rights or violate any laws.

The Platform Services and any Output are provided “AS IS.” Jamie AI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

You are solely responsible for reviewing and verifying all Output before use. Output may not be unique and may be similar to content generated for other users.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Jamie AI, its owners, officers, affiliates, employees, contractors, representatives, suppliers, investors, and successors in interest from and against any claims, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your Customer Data

• Your use of the Platform Services

• Your violation of these Terms

• Your violation of any applicable law or third-party right

9. LIMITATION OF LIABILITY

NOTWITHSTANDING ANYTHING TO THE CONTRARY, EXCEPT FOR BODILY INJURY OF A PERSON, JAMIE AI AND ITS SUPPLIERS, OWNERS, OFFICERS, AFFILIATES, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, INVESTORS, AND SUCCESSORS IN INTEREST SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS OR THE PLATFORM SERVICES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY: (A) FOR ANY ERROR OR INTERRUPTION OF USE, OR FOR ANY LOSS, INACCURACY, OR CORRUPTION OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY, OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND JAMIE AI’S REASONABLE CONTROL; OR (D) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY YOU TO JAMIE AI FOR THE PLATFORM SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT YOU OR JAMIE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. GENERAL

Jamie AI may update these Terms from time to time by posting updated versions. Your continued use of the Platform Services after the effective date of the updated Terms constitutes your acceptance of those updated Terms.

Jamie AI may assign these Terms freely. You may not assign these Terms without Jamie AI’s prior written consent.

Unless otherwise agreed in writing, you grant Jamie AI the right to use your name and logo in promotional materials and customer lists.

These Terms and any disputes arising out of or related to these Terms or the Platform Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The parties agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the jurisdiction of such courts.

11. CONFIDENTIALITY

Each party agrees to keep confidential and not disclose to any third party any confidential information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This includes business plans, pricing, non-public content strategies, customer data, and technical information.

Each party will use the other party’s confidential information solely as necessary to perform its obligations or exercise its rights under these Terms.

This obligation survives termination of these Terms.

12. DATA SECURITY AND PRIVACY

Jamie AI uses industry-standard security practices to protect your data. However, no system is perfectly secure, and you agree to use the Platform Services at your own risk.

Jamie AI maintains logical separation of customer data across accounts. Your Customer Data is isolated within your account environment and is not shared with other customers.

To operate, provide, maintain, support, and improve the Platform Services, Jamie AI may use Customer Data, including transcripts, analytics, retention data, engagement data, Inputs, Outputs, and usage metadata, to evaluate the effectiveness and performance of Platform Services features, suggestions, recommendations, and outputs.

Jamie AI may also create and use Derived Data for service analytics, benchmarking, internal business purposes, product and service improvement, and support, provided that such Derived Data is de-identified and aggregated and does not identify you, your organization, your end users, or specific Customer Data.

Certain features of the Platform Services may involve processing your Customer Data using third-party large language model providers, including but not limited to OpenAI, Perplexity, Anthropic, and Gemini. By using these features, you authorize Jamie AI to transmit necessary data to such providers solely for the purpose of generating responses, supporting functionality, and improving the Platform Services in accordance with applicable privacy policies and security practices. Jamie AI will use commercially reputable providers that are subject to confidentiality obligations and reasonable data-use limitations.

You may request deletion of specific content or opt out of certain future de-identified product improvement uses by contacting us at support@jamie-ai.com.

13. YOUTUBE DATA MANAGEMENT

Jamie AI uses YouTube API Services to provide analytics, content insights, and channel and video performance features. This section describes how YouTube data is handled.

Data We Store

If you connect your YouTube account, Jamie AI may store:

• YouTube OAuth tokens

• Channel details, including ID, name, and metadata

• Video metadata and analytics

• Cached results for performance, speed, and user experience

No YouTube content is shared with external parties except as required to operate the Platform Services, such as AI processing or analytics integrations as described in the Privacy Policy.

Jamie AI may use YouTube-related transcripts, analytics, retention data, and engagement data made available through the YouTube API Services in order to provide the Platform Services, evaluate the effectiveness of Platform Services suggestions and recommendations, and create Derived Data in de-identified and aggregated form for product improvement, analytics, and benchmarking, subject to applicable law and third-party platform terms.

How to Revoke YouTube Access

You may revoke Jamie AI’s access to your YouTube account at any time.

Option A: Inside Jamie AI
Go to Settings → YouTube → Revoke Access

Option B: Through Your Google Account
Visit: https://myaccount.google.com/connections?filters=3,4&hl=en

Revoking access immediately removes Jamie AI’s ability to retrieve new YouTube data.

Data Deletion

When access is revoked:

• Stored OAuth tokens are deleted

• Cached channel and video data are deleted

• Associated analytics generated for internal product improvement may be retained only in de-identified and aggregated form as Derived Data

You may request deletion of any remaining user-level data by emailing support@jamie-ai.com or by using the in-app revocation flow, where applicable.

14. SEAT USAGE AND ACCOUNT SHARING

You may not share access credentials or permit more than one user to access the Platform Services per account or licensed seat. Jamie AI reserves the right to audit usage and suspend accounts found in violation of this section.

15. FEEDBACK LICENSE

If you send Jamie AI any ideas, suggestions, or feedback, you grant Jamie AI a perpetual, worldwide, irrevocable, royalty-free license to use, copy, modify, and implement that feedback without restriction or compensation.

16. FORCE MAJEURE

Jamie AI is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, labor disputes, internet failures, utility failures, war, terrorism, civil unrest, pandemics, governmental actions, or failures of third-party service providers.

17. BETA FEATURES

From time to time, Jamie AI may offer features, products, or functionality identified as beta, preview, early access, pilot, or similar (“Beta Features”). Beta Features are provided for evaluation purposes only and may be modified, suspended, or discontinued at any time without notice.

Beta Features are provided “AS IS” and without any warranties of any kind. Jamie AI shall have no liability arising out of or related to Beta Features.
